Terms of Service

1. Who we are
Vivport Pty Ltd (ABN 18 699 971 143) ("Vivport", "we", "us", "our") provides the Vivport service from 73 Gracemere Street, Newmarket QLD 4051, Australia. You can contact us at dirk@vivport.com.
These terms are an agreement between you and Vivport. By creating an account or using the service, you agree to them.
2. The service
Vivport is hosted software. Members connect email and calendar accounts, and the service imports, organises, and analyses that content with artificial intelligence. AI drafts documents, emails, and events that members review, approve, and send, and automations run under member approval. You need an account to use the service.
3. Your content
You own the content you submit to or connect to the service, including documents, files, photos, recordings, and the AI-generated outputs created from them. You grant Vivport a licence to host, store, and process your content solely to provide the service to you.
You warrant that you have the rights and any consents required for the content you import or upload. This includes any consent required by applicable law to record other people — if you upload a recording of a conversation, obtaining any required consent from the people recorded is your responsibility.
4. AI-generated outputs
The service uses artificial intelligence to generate documents, drafts, and other outputs. AI-generated content may contain errors or omissions. You must review outputs for accuracy and completeness before relying on them for any professional purpose.
Outputs are not medical, legal, or financial advice. You remain responsible for your own regulatory and professional obligations, including any requirements that apply to documentation in your industry.
5. Acceptable use
You agree to use the service lawfully. You must not:
- use the service for any unlawful purpose or to process unlawfully obtained content;
- abuse, disrupt, or attempt to gain unauthorised access to the service or its systems;
- resell or provide the service to third parties without our written agreement; or
- attempt to circumvent usage limits or billing.
6. Accounts and security
You agree to provide accurate account details and keep them up to date. You are responsible for safeguarding your login credentials, and you must notify us promptly at dirk@vivport.com if you suspect your account has been compromised.
7. Fees and billing
Prices are as published on our Pricing page. All prices are in Australian dollars (AUD) and include GST. Subscriptions are billed monthly in advance through Stripe, our payment processor. Prepaid AI-usage credits are debited as they are consumed. We will give you at least 30 days' notice of any price change.
8. Cancellation and refunds
You can cancel your subscription at any time, effective at the end of the current billing period. Our Refund & Cancellation Policy sets out how refunds are handled. Nothing in these terms excludes any rights you have under the Australian Consumer Law.
9. Availability and changes
The service may change over time as we improve it. We do not give an uptime guarantee at this stage. We will give reasonable notice of material changes to the service.
10. Liability
To the extent permitted by law, our total liability arising out of or in connection with the service is capped at the fees you paid in the 12 months before the claim arose, and we are not liable for indirect or consequential loss.
Where the Australian Consumer Law applies and permits, our liability for a failure to comply with a consumer guarantee is limited to resupplying the service or paying the cost of having it resupplied. Nothing in these terms excludes, restricts, or modifies any consumer guarantee or other right that cannot lawfully be excluded.
If any part of these terms is found to be unenforceable, the rest continues to apply.
11. Termination
We may suspend or terminate your account for material breach of these terms. When your account is closed — by you or by us — you can export your data for 30 days, after which it will be deleted within a further 30 days.
12. Governing law
These terms are governed by the laws of Queensland, Australia, and the courts of Queensland have jurisdiction over any dispute.
13. Changes to these terms
We may update these terms from time to time. We will give notice of changes by email or through the site, and the "Last updated" date above shows the current version. Our Privacy Policy explains how we handle your personal information.
